Overview

The Benefits and Compensation Round Table Meeting is designed to advance your knowledge and share best practices on benefits and compensation topics. Topics include legal updates and changes, organizational trends, and best practices that can be applied in any work environment or industry. Often, you are joined by a presenter and may be eligible to earn recertification credits. Benefit from the experience in the room and attend a Benefits and Compensation Round Table Meeting.

Executive Compensation Practices from the Lawyer’s Perspective

This program will review the design of executive compensation, including equity compensation. Participants will discuss the relevant tax law including Internal Revenue Code sections 162(m), 280G and 409A as well as the requirements and best practices to obtain shareholder approval.

Learning Objectives:

  • Define the common components of an executive compensation program
  • Identify potential Section 409A issues that require further legal analysis
  • Understand the hurdles in obtaining shareholder approval of equity compensation programs

Angela Stockbridge provides a full array of employee benefits and executive compensation related services. Prior to joining Wilkins Finson Friedman Law Group LLP, Angela was the sole in-house ERISA and executive compensation counsel for a Fortune 500 company, where she established a new change in control plan for executives, provided legal guidance for the merger of qualified defined contribution plans, and assisted the benefits department with contract negotiations, appeals, M&A activity, and annual enrollment.

As a former associate in ERISA practice groups at AmLaw 100 firms, she created and presented training for clients on matters including HIPAA compliance, fiduciary compliance, and audit preparation.
